Trading conditions
Terms and conditions at Coredesign
Our terms and conditions are set on the basis of years of experience and sales in the industry. The trading conditions apply to ensure good and fair business between the parties.
 
1. Application
​
1.1 Application:  General sales and delivery conditions apply to all agreements with Coredesign A/S, CVR number 12619499, sale and delivery of products and/or associated services to business customers.
2. Basis of agreement
​
2.1 Basis of agreement:  The conditions, together with Coredesign's offer and order confirmations, form the overall basis of agreement regarding Coredesign's sale and delivery of products and associated services to the customer ("Basis of Agreement"). The customer's purchase conditions printed on orders or otherwise communicated to Coredesign do not form part of the basis of the agreement.
2.2 Amendments and additions:  Amendments to and additions to the Basic Agreement are only valid if the parties have agreed them in writing.

3. Products and services
​
3.1 Products:  Products that Coredesign sells and delivers to the customer are new and comply with Danish legislation at the time of delivery.
​
3.2:  When purchasing bedding items, sweets, pens, mugs etc., the right to delivery +/- 10% of the delivered quantity is reserved. If the parcel is broken, an extra 10% of the item's price is added.
​
3.3 Product samples:  Coredesign is happy to send product samples. Clothing samples will be invoiced in all cases, while other samples will only be invoiced if they are not returned (in original packaging) to Coredesign within 14 days. This does not apply to chocolate and other foods. No freight or administration costs will be charged when invoicing samples.
For special tasks and moments of uncertainty, Coredesign recommends investing in a physical sample. This is to ensure that all expectations are agreed before real production is started - especially in the case of embroidered logos - this cost is covered by the customer.

4. Price and payment
​
4.1 Price:  Coredesign A/S deals exclusively with the business market - Business to Business - which means that the prices are business prices, which are special prices for companies. All prices are exclusive of VAT and are below the suggested retail prices as we know them in retail stores.
The price for products and associated services follows Coredesign's current price list at the time when Coredesign confirms the customer's order, unless the parties have agreed otherwise in writing. We reserve the right for exchange rate fluctuations and would like to point out that a subsequent adjustment may take place due to the exchange rate changes globally. Coredesign A/S only trades with companies, including associations, sports clubs, foundations, etc. – thus not with private individuals. Products purchased by Coredesign may not be resold to a third party. Violation of this agreement may have legal consequences.

4.2 Payment:  The customer must pay all invoices for products or associated services no later than 8 days net, unless the parties have agreed otherwise in writing. We reserve the right to charge advance payment to all future customers. For larger orders, typically production from the East, the procedure is normally 50% advance payment.
At coredesign.dk you can pay with VISA and Mastercard. The amount is deducted from the customer's account as soon as the item has been dispatched.

4.3 Disclaimer:  Coredesign A/S reserves the right to typographical errors on prices, taxes, customs duties, etc. and points out that the website is indicative prices. Coredesign points out that if there are changes in estimates regarding quantity, we cannot guarantee delivery at the agreed time.

5. Certificate
​
5.1 Receipt:  When you shop through Coredesign A/S, you automatically receive a certificate by e-mail.
​
5.2 Support:  By trading through Coredesign A/S, you are automatically helping to support the work of various associations such as the Children's Cancer Foundation, Hus Forbi and Verdens Skove, which Coredesign supports. At the same time, you are helping to ensure that Coredesign continues to be able to support a number of associations.
​
5.3 Sustainable transformation:  By acting through Coredesign A/S, you are at the same time contributing to the sustainable transformation, as Coredesign is ISO 14001 certified and focuses on the UN's 17 Global Goals. Furthermore, Coredesign tries to do its best to avoid greenwashing, so that you as a customer get an environmentally friendly product with adequate product information.

6. Late payment
​
6.1 Interest:  If the customer fails to pay an invoice for products or related services on time for reasons for which Coredesign is not responsible, Coredesign is entitled to interest on the overdue amount at 1.5% per month from the due date and until payment takes place.
If you are a new customer, there will always be advance payment, unless otherwise agreed.

6.2 Cancellation:  If the customer fails to pay an overdue invoice for products or related services no later than 14 days after receiving a written demand for payment from Coredesign, Coredesign has, in addition to interest according to section 6.1 the right to: (i) cancel the sale of the products and/or related services to which the delay relates, (ii) cancel the sale of products and/or related services that have not yet been delivered to the customer, or demand advance payment for this, and /or (iii) exercise other default powers.
7. Offers, orders and order confirmations

7.1 Offer:  Coredesign's offer is valid for 10 days from the date the offer is dated, unless otherwise stated in the offer. Acceptance of offers received by Coredesign after the expiry of the acceptance period is not binding on Coredesign, unless Coredesign informs the customer otherwise.
7.2 Orders:  The customer must send orders for products or associated services to Coredesign in writing. An order must contain the following information for each specific product or service: (i) Order number, (ii) Item number, (iii) Item description, (iv) Quantity, (v) Price, (vi) Payment terms, (vii) Delivery date, (viii) ) Delivery address and (ix) Delivery conditions.

7.3 Proofreading:  Proofreading is not considered approved until this has been confirmed in writing by the customer. Approval per telephone is not applicable, unless this is confirmed in writing between Coredesign and the customer. There are 2 proofreadings included in an order. If more revisions are desired, an additional cost will be added. Once a proofreading has been approved, it cannot, as a rule, be changed, as production of films, clichés, etc. is then started. If a change is desired afterwards, this will entail additional initial costs, as a new cliché, mold, tool, etc. must be made. In the case of production in the east or other specially designed goods, e.g. USB plugs, it is also not possible to change the basic layout, after the first correction is approved.

7.4 Pantone colours:  In connection with specifying pantone colours, the customer must be aware of the possibility that there may be minimal deviations from product to product. The pantone color(s) provided by the customer, which is indicated on the approved proof, is the one used for logo printing. Coredesign cannot be held responsible if the wrong pantone code is provided for use in production. In cases where there may be great uncertainty about the outcome, Coredesign will always recommend that the customer have a sample made before the actual production is started, if the customer so wishes. The logo color, considered using CMYK or Pantone color code, varies approx. 1-2% in the shade/saturation.
Logo with fading: As a starting point, it is always a challenge to reproduce logos with fading on advertising products that are not suitable for digital printing.
7.5 Order confirmations:  Coredesign aims to send confirmation or rejection of an order for products or related services to the customer in writing no later than the same day after receiving the order. Confirmations and rejections of orders must be in writing to bind Coredesign.

7.6 Cancellation:  Changes or discrepancies in order confirmation must be made no later than 24 hours after receipt, otherwise a real order will be initiated and all costs will be borne by the buyer.
​
7.7 Change of orders:  The customer cannot change a placed order for products or associated services without Coredesign's written acceptance.
​
7.8 Inconsistent terms:  If Coredesign's confirmation of an order for products or associated services does not match the customer's order or the basis of the agreement, and the customer does not wish to accept the inconsistent terms, the customer must notify Coredesign in writing no later than 24 hours after receiving the order confirmation. Otherwise, the customer is bound by the order confirmation.

7.9 Errors and deficiencies in order cases:  If errors and deficiencies should arise from Coredesign's side in an order case regarding textile goods, so that the customer cannot use his products, Coredesign will - with the customer's agreement - donate these to the Red Cross. relating to. other products, Coredesign will take it case by case with a view to what is best for the environment/climate.

7.10 Additional processing fee:
For orders (without logo) under DKK 2,500 excl. VAT, a processing fee of DKK 249 is charged.
For logo orders under DKK 5,000, excl. VAT, a handling fee of DKK 499 is taken.
8. Delivery
8.1 Delivery conditions:  Coredesign delivers all sold products and associated services at the time stated in Coredesign's order confirmation. The company has the right to deliver before the agreed delivery time, unless the parties have agreed otherwise and unless there are delays in the correction phase. We reserve the right for delays from subcontractors and other distributors.
The delivery date on the order confirmation is the date when Coredesign ships the goods. Should there be any changes to the specified delivery date, Coredesign will inform you of this. The order confirmation is considered real documentation for the conclusion of the deal, and should changes occur during the proofing phase, the order confirmation will be updated and thus appear as the legal document for the conclusion of the agreement.

INCOTERMS Free Carrier apply. Ab København S – with GLS, PostNord or Danske Fragtmænd.
The agreed delivery time according to the order confirmation will apply, unless there are delays in the correction phase.
A normal delivery will typically take 2-3 weeks after approved proofreading.
If it is a special production, delivery will typically take 12-15 weeks after approved proofreading.
Information about the final delivery time will be continuously communicated in the order process.
We reserve the right for force majeure, which is an event over which neither party has influence and which cannot be predicted. Including, for example, strikes, natural disasters, customs problems or unforeseen delays in shipping.
8.2 Examination:  The customer must examine all products and associated services upon delivery. If the customer discovers an error or defect, which the customer wishes to claim within a maximum of 2 days after receipt, it must be immediately notified in writing to Coredesign. If an error or defect that the customer discovers or should have discovered no later than 2 days after receipt is subsequently notified in writing to Coredesign, it cannot be claimed later.

8.3 Notification:  If Coredesign expects a delay in the delivery of products or associated services, Coredesign informs the customer of this and at the same time provides the reason for the delay and new expected delivery time. If the delivery deadline is exceeded, Coredesign A/S disclaims any liability for damages that may arise as a result. Losses after exceeding the agreed delivery period are not compensated. It is the buyer's own responsibility.

When purchasing USB sticks, a Copydan fee of DKK 4.11 per PCS. You can apply for an exemption for this if it is for internal use. This is through Copydan's register  Copydan fee .
​
A separate shipping price is calculated for each individual order according to weight and volume .
NOTE: Delivery only applies to deliveries to business addresses! Prices include insurance and handling fee.

8.4 Cancellation:  If Coredesign fails to deliver products or related services no later than 14 days after the agreed delivery time for reasons for which the customer is not responsible, and delivery does not take place within a reasonable period of at least 7 days, the customer may cancel the order(s) , who are affected by the delay, without notice by written notice to Coredesign. The customer has no other rights in the event of delayed delivery.

This does not apply if the delay is due to force majeure. These are unusual natural conditions, war, terror, fire, flood, vandalism and labor disputes.
​
8.5 Changes:  Reservations are made for changes in taxes, customs costs and changes in exchange rates.
​
8.6 Free shipping:  For purchases over DKK 5,000 ex VAT, shipping is free for purchases on www.coredesign.dk. If you choose to buy through our customer service on the phone and get advice and guidance, it will not be possible to provide free shipping.
​
8.7 Christmas orders with packaging company (affiliated freight company):  Packages from our packaging company are delivered on a pallet by the curb at the agreed address. The delivered pallet will weigh a maximum of 200 kg and will therefore be able to be moved from the curb with a manual pallet lifter, if one is owned. If the address has a goods reception with a ramp, the pallet can also be delivered here. Upon delivery, a receipt for receipt will have to be attached. Delivery will never be made without this receipt, and the person responsible will therefore be contacted at the address to obtain this receipt.

8.8 1st floor and above:  In the event of a request for delivery on the 1st floor or above, there will be additional costs in the form of handling. The price for this will vary from order to order and will therefore be agreed in advance in relation to the size and weight of the order.

9. Cancellation of order
​
As a general rule, we CANNOT offer to withdraw/cancel an order that has been booked. BUT in special cases it may be possible to get the manufacturer to stop production if proofreading is not finally agreed, and here it can vary between 10-20% in cancellation fee.
10. Guarantee
10.1 Warranty:  Coredesign guarantees that products and associated services are free from significant defects in design, materials and workmanship for 6 months after delivery.

10.2 Notification:  If the customer discovers an error or defect during the warranty period that the customer wishes to invoke, it must be notified in writing to Coredesign within 6 months of receipt . If an error or defect that the customer discovers or should have discovered is not notified to Coredesign within 6 months of receipt, it cannot be claimed later. The customer must provide Coredesign with the information about a notified error or defect that Coredesign requests.

10.3 Investigation:  Within 24 hours after Coredesign has received notification from the customer of an error or defect and investigated the claim, Coredesign will notify the customer whether the error or defect is covered by warranty. Upon request, the customer must send defective products to Coredesign. The customer bears the cost and risk of parts in transit to Coredesign. Coredesign bears the cost and risk of parts in transit to the customer if the error or deficiency is covered by warranty.

10.4 Cancellation:  If Coredesign fails to remedy an error or defect covered by warranty within a reasonable time after Coredesign has notified the customer according to section 8.3 for reasons for which the customer is not responsible, and the error or deficiency is not remedied within a reasonable period of at least 3 days, the customer may cancel the order(s) affected by the error or deficiency without notice by written notice to Coredesign . The customer has no other rights in connection with errors or defects in products, spare parts or associated services than those expressly stated in section 8. *Reasons that fall under force majeure are not seen as a valid reason for cancellation.

Coredesign A/S is responsible for the quality of the goods that are produced and sold to the companies, and should the goods be defective contrary to expectations - then Coredesign will always take responsibility and take the goods back without charge. In the case of complaints, the item must be sent back to us so that we can see the defect in the item.
​
In the case of multi-coloured logo printing on elements, displacements corresponding to approx. 1-2 mm. The application of several logo colors is basically handmade and is therefore done manually. Complaints can still take place, however, and if there are any questions, please contact us - and we will look into the matter. With USB sticks, it may happen that some operating systems cannot read the device, but ordinary standard PCs have no problems. If you use an alternative EDB or have special requirements for the USB's capabilities, Coredesign must be informed of this before production itself, as it is necessary to coordinate with the manufacturer before the delivered product turns out to be "worthless".

In the case of profile clothing, it is recommended to buy an extra pair of different items to ensure that everyone has something that fits.
Sizes can vary from manufacturer to manufacturer, which is why even if you are used to a size S, it may be small in the model compared to where you otherwise buy it. This should only be kept in mind when ordering clothing, as Coredesign cannot be held responsible for whether it fits or not, if what is confirmed on the sent order confirmation has been delivered.

11. Responsibility
11.1 Liability:  Each party is responsible for its own actions and omissions according to applicable law with the limitations that follow from the basis of the agreement.
​
11.2 Product liability:  Coredesign is responsible for product liability with regard to delivered products and spare parts, to the extent that such liability follows from mandatory legislation. The customer must indemnify Coredesign to the extent that Coredesign incurs product liability in addition.
​
11.3 Indirect losses:  Regardless of any contrary terms in the agreement, Coredesign is not liable to the customer for indirect losses, including loss of production, sales, profit, time or goodwill, unless caused intentionally or grossly negligently.
11.4 Force majeure:  Regardless of any contrary terms in the contract basis, Coredesign is not liable to the customer for non-fulfillment of obligations that may be attributable to force majeure. The freedom from liability remains as long as force majeure persists. Circumstances that are beyond Coredesign's control and which Coredesign should not have foreseen when entering into the agreement are considered force majeure. Examples of force majeure are unusual natural conditions, war, terror, fire, flood, vandalism and labor disputes.
12. Intellectual property rights

12.1 Ownership:  Full ownership of all intellectual property rights relating to products and associated services, including patents, designs, trademarks and copyrights, belongs to Coredesign.
12.2 Infringement:  If delivered products infringe third-party intellectual property rights, Coredesign shall, at its own expense: (i) ensure the customer's right to continue using the infringing products, (ii) modify the infringing products or spare parts so that they no longer infringe, ( iii) replace the infringing products or parts with non-infringing ones, or (iv) buy back the infringing products or parts at the original net purchase price less 50% per years since delivery. The customer has no other rights in connection with infringement of third-party intellectual property rights by products, spare parts or associated services.
13. Confidentiality
13.1 Disclosure and use:  The customer must not pass on, use or enable others to use Coredesign's trade secrets or other information of any kind that is not publicly available.
13.2 Protection:  The customer may not improperly obtain or attempt to obtain knowledge of or access to Coredesign's confidential information as described in section 13.1. The customer must handle and store the information properly to avoid it accidentally coming to the knowledge of others.
13.3 Duration:  The customer's obligations according to section 13.1-13.2 apply during the parties' trade and without time limit after the end of the trade, regardless of the reason for the end.
14. Applicable law and venue
14.1 Applicable law:  The parties' trade is in all respects subject to Danish law.
14.2 Jurisdiction:  Any dispute that may arise in connection with the parties' trade must be settled by a Danish court.
15. Communication
15.1 Campaign email:  Coredesign ensures dialogue and communication of new business solutions and products through Coredesign's campaign email , which is sent out regularly as needed, as well as exceptionally in case of particularly good offers.
The customer is automatically signed up for our campaign email when you choose to shop/enquire with us.
Coredesign regards our campaign email as a value-creating tool, where the customer as a buyer is updated with product knowledge within the industry. The customer can unsubscribe from the campaign email at any time .

17. Form of company

Coredesign A/S is a limited company.
18. Cliché conditions
​
Cliché or film, which is established in connection with the logo, is reserved for the ownership of Coredesign A/S. It is not released.
19. Out of stock items
​
It can go fast with sold-out items, and it can cross your order here on the site.
We double check that your ordered items are in stock. And you will hear from us quickly with an answer if your items you have ordered/booked are sold out.
20. The Purchase Act
Danish legislation, including the Purchase Act, applies to matters not described in the above. Any disputes regarding the above wording or in connection with a delivery from Coredesign can only be brought before Danish courts in accordance with Danish venue rules.
21. Cookies

At Coredesign A/S, we use so-called cookies to facilitate the procedure for you as a customer with future purchases. It is a small file that is stored on your computer and remembers which information you use on our website and can insert it yourself. If you do not want this service, you can change your settings for cookies in your browser under settings and delete any cookies that are on your PC.
22. Specialty shops

At Coredesign A/S we offer and also offer special shops for Christmas gifts etc. Here, the general trading conditions also apply, however, you will be able to see the trading conditions that are specifically linked to the shop at the shop in question. These can be found under the tab "trading conditions" on the relevant shop that you, as a customer, have purchased from and these will apply.
23. Personal data

We will  never  pass on your information to a third party and never share your data elsewhere.
We will  never  send you unwanted emails. You will only receive emails from us if you sign up for our newsletter.
We only store your name, e-mail and address in our system for accounting reasons in accordance with the Accounting Act.
When you have shopped with us, we will write to you to ask if you want to sign up for our inspiration email. You must confirm this before you receive our inspirational emails.
24. Participation in competitions

Participation in competitions, campaigns or the like. in connection with Coredesign - both applicable on social media, per telephone etc. - you will be automatically signed up for our newsletter here.
